Corporate Governance especially refers to the top management and board of directors. The process of corporate governance essentially has four principal activities viz.(1) direction (ii)executive action (iii) and( iv) accountability. Corporate Governance refers to how a corporation is governed, who has the authority to make decisions for a corporation within what guidelines. Corporate Governance can also be said as gathering together a group of smart accomplished people around a board table to make good decisions on behalf of the company and its stakeholders
